Terms governing PhoenixCare’s public website and pilot or demonstration inquiry form.

Policies & contents

1. Definitions and scope

“PhoenixCare,” “we,” “us,” and “our” mean PhoenixCare Inc. “Website” means www.phoenixcare.io and its public marketing pages. “Form” means the pilot-or-demo inquiry form embedded on the Website. “Terms” means these Website Terms of Service. “Privacy Policy” means the PhoenixCare Website Privacy Policy linked from the Website.

The “COPD Hotline” means the separate telephone service offered to authorized participants under a PhoenixCare pilot. The COPD Hotline, clinical dashboard, pilot services, and research activities are not part of the Website for purposes of these Terms unless a separate document expressly says otherwise.

2. Acceptance

By accessing or using the Website, you agree to these Terms to the extent enforceable under applicable law. If PhoenixCare asks you to affirmatively accept a term—for example, before submitting a Form—only your explicit acceptance constitutes agreement to that additional term.

Acceptance of these Terms is not consent to optional cookies, marketing, the collection of sensitive information, or participation in a PhoenixCare pilot. Those choices require the separate notice and consent appropriate to the activity.

If you submit an inquiry on behalf of an organization, you represent that you are authorized to do so. The Form is intended for adults and professional or organizational inquiries. Do not use it to submit patient information.

3. Website information; no medical advice

The Website provides general information about PhoenixCare and its services. It does not provide medical advice, diagnosis, treatment, emergency response, or a professional healthcare relationship. Do not use Website content to make or confirm a clinical decision.

If you believe you may be experiencing a medical emergency, call 911. Questions about a medical condition should be directed to a qualified healthcare professional.

The Website currently describes AI-enabled services but does not offer a public interactive AI assistant. If PhoenixCare later introduces an interactive AI feature, it must be governed by a clear just-in-time notice, appropriate consent, the Privacy Policy, and any additional feature-specific terms before use.

4. Separate pilot and COPD Hotline terms

Participation in a PhoenixCare pilot or the COPD Hotline is governed by the applicable pilot agreement, clinical consent process, patient-facing materials, and COPD Hotline Privacy Notice. These Website Terms do not replace those documents and do not authorize the collection of patient information through the Website Form.

The COPD Hotline is not an emergency service, does not dispatch 911, and does not guarantee an immediate clinician callback. Authorized participants must follow the emergency and clinical instructions provided through the pilot.

5. Intellectual property

The Website and its text, designs, graphics, logos, images, video, audio, software, and arrangement are owned by PhoenixCare or its licensors and are protected by applicable intellectual-property laws.

PhoenixCare grants you a limited, revocable, non-exclusive, non-transferable licence to access and display the Website for lawful personal or internal business-evaluation purposes. Except as permitted by law, you may not reproduce, distribute, modify, republish, commercially exploit, or create derivative works from Website content without written permission.

The PhoenixCare name and logos may not be used without prior written permission. Restrictions in this section do not prevent activities that cannot lawfully be prohibited.

6. Form submissions, feedback, and personal information

You must have the right to submit any information you provide. Do not submit patient records, medical information, passwords, confidential third-party information, unlawful material, or information you are not authorized to disclose.

PhoenixCare may use an inquiry or feedback submission to respond to you, evaluate a potential pilot or demonstration, operate and improve the Website, and maintain appropriate business records. PhoenixCare does not obtain a perpetual promotional licence to identifiable personal information merely because it was submitted through the Form. Any public testimonial, case study, or promotional use requires separate authorization.

Personal information is handled under the Privacy Policy and applicable law, regardless of any content licence.

7. Typeform and other third-party services

The Website uses Typeform for the embedded pilot-or-demo inquiry Form and Vercel for Website hosting. Links or embedded services supplied by third parties may also be subject to their own terms and privacy notices.

PhoenixCare remains responsible for its own obligations concerning personal information under its control. Third-party terms do not reduce your rights against PhoenixCare where applicable law makes PhoenixCare accountable.

8. Acceptable use

You may not use the Website to:

  • violate applicable law or another person’s rights;
  • submit malware, spam, unauthorized commercial messages, deceptive content, or unlawful material;
  • impersonate another person or misrepresent your authority;
  • interfere with, damage, overload, or gain unauthorized access to the Website or related systems;
  • conduct unauthorized vulnerability testing, scraping, bulk extraction, or automated access;
  • submit patient information or sensitive health information through the Form.

Good-faith security research expressly authorized by PhoenixCare in writing is not prohibited by this section.

9. Privacy, cookies, and electronic communications

The Website Privacy Policy explains what information PhoenixCare collects, its purposes, service providers, cross-border processing, retention, safeguards, and individual rights.

Agreeing to these Terms does not itself provide consent for non-essential cookies or marketing. PhoenixCare sends commercial electronic messages only with valid consent or another lawful basis and provides the identification and unsubscribe mechanism required by applicable law.

10. Availability and changes

PhoenixCare may modify, suspend, or discontinue the Website or any public Website feature. The Website may occasionally be unavailable or contain errors. PhoenixCare does not promise uninterrupted availability.

PhoenixCare may update these Terms. The effective date and current version will be displayed on the Website. Material changes will be brought to users’ attention as required by law. A material change requiring renewed agreement does not bind a user merely because the user continued browsing without receiving the required notice or giving the required consent.

11. Disclaimers and limitation of liability

The Website is provided on an “as available” basis for general informational purposes. To the extent permitted by law, PhoenixCare does not warrant that Website content is complete, current, error-free, or suitable for a particular purpose.

To the extent permitted by law, PhoenixCare is not liable for indirect or unforeseeable loss arising solely from use of the public Website. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for bodily or moral injury or intentional or gross fault where Québec law applies.

You remain responsible for loss directly caused by your unlawful use of the Website. No broader consumer indemnity applies where prohibited or abusive under applicable law.

12. Restriction or termination of access

PhoenixCare may restrict access to interactive Website features when reasonably necessary to address unlawful use, fraud, security risk, or a material breach of these Terms. Any restriction remains subject to applicable consumer protections and legal notice requirements.

13. Governing law and Québec consumer rights

These Terms are governed by the laws of Québec and the federal laws of Canada applicable there, without depriving a consumer of mandatory protections or access to a competent Québec authority. No pre-dispute mandatory arbitration or class-action waiver is imposed on Québec consumers by these Terms.

14. Language

A complete French version of these Terms is available. For users in Québec, the French version must be made available and presented by default where required by law. If the English and French versions conflict, the French version prevails to the extent required by applicable law.

15. Accessibility

PhoenixCare aims to make the Website reasonably accessible. To request an accommodation or report an accessibility problem, contact hello@phoenixcare.io.

17. Entire agreement and severability

These Terms and the Website Privacy Policy constitute the agreement governing the public Website. They do not replace a signed pilot, clinical, research, employment, vendor, or other separate agreement. If a provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
